What is a Non-Disclosure Agreement?

A non-disclosure agreement (NDA), also known as a confidentiality agreement, is a legally binding contract between two or more parties.  The contract will restrict some or all parties from releasing information outlined in the document.  Situations in which an NDA are used include:

 

·      When an employee is hired.  The employer may require an NDA be signed by all employees who have access to trade secrets, personal or confidential information.

 

·      When an inventor is seeking investment.  The inventor may ask capitalists or collaborators to sign an NDA to protect his/her patent rights.

 

·      When a settlement has been reached. One or both parties may wish to conceal the details of the settlement.

 

There are several elements to an effective non-disclosure agreement, such as defining “confidential information,” exclusions, duration, and obligations.  It’s best to have a qualified attorney prepare the document on your behalf to ensure the needs of all parties are met fairly.
